These Terms & Conditions (“Terms”) govern your use of Otherwhere (“we,” “us,” “our,” or the “Service”). By texting, calling, or otherwise using the Service, you agree to these Terms.

1) What We Do

Otherwhere is a travel planning and booking service.

We help you search, compare, and book flights, stays, and travel experiences based on your preferences. When you approve a trip, we complete the booking on your behalf through trusted travel providers.

We do not operate airlines, hotels, rental companies, or other travel businesses. All travel products are fulfilled by third-party providers.

2) Your Responsibilities

You agree to:

• Provide accurate and complete information when requesting a trip.

• Review all travel details, including names, dates, passport information, and preferences before confirming.

• Notify us immediately of any changes or errors.

• Comply with the terms, policies, and requirements of the travel providers fulfilling your booking.

3) Bookings, Payments & Provider Terms

When you approve a booking, we complete it through the applicable travel provider.

Your payment is processed securely through our booking partners. Their terms and conditions—including rules on cancellations, refunds, fare changes, schedule changes, and loyalty program eligibility—apply to your reservation.

You are responsible for reviewing the provider’s fare rules, restrictions, and policies before confirming.

4) Pricing, Availability & Accuracy

Travel prices, availability, schedules, and policies come from third-party providers and may change at any time.

We do not guarantee that any fare, room, or product will remain available until booked.

We are not liable for errors, outages, changes, or cancellations made by travel providers.

5) No Warranty of Outcomes

Otherwhere provides curated recommendations using your preferences, but we do not guarantee:

• specific prices

• upgrade eligibility

• seat or room availability

• loyalty benefits

• uninterrupted service

• specific trip outcomes

Travel inherently involves variables outside of our control (weather, operational changes, provider policies, etc.).

6) Acceptable Use

You agree not to:

• misuse the Service or attempt unauthorized access;

• send abusive, unlawful, or fraudulent requests;

• interfere with or disrupt Service operations;

• scrape, copy, or repurpose Service content except as permitted by law.

We may suspend or terminate access for violations.

7) Intellectual Property

All content, branding, design, and software associated with Otherwhere are owned by us or our licensors and protected under applicable laws.

You may not reverse engineer, decompile, or create derivative works except where permitted by law.

8) Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind.

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• the Service will be error-free or uninterrupted;

• information from travel providers will always be accurate or current;

• recommendations will meet your personal expectations.

9) Limitation of Liability

To the maximum extent permitted by law:

• Otherwhere, its employees, and affiliates are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits;

• our total liability for any claim arising out of or relating to the Service will not exceed USD $100.

Some regions do not allow certain limitations, so these may not apply to you.

10) Indemnity

You agree to indemnify and hold Otherwhere harmless from claims, damages, losses, and expenses arising from:

• your use of the Service;

• your violation of these Terms;

• your interactions with third-party travel providers.

11) Changes to the Service and Terms

We may modify or discontinue parts of the Service at any time.

We may update these Terms by posting a revised version with a new “Last updated” date.

Continued use of the Service indicates acceptance of the updated Terms.

12) Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the courts located in Toronto, Ontario, unless otherwise required by applicable law.
